Terms of Service

By accessing or using the Pesewa Rising platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms apply to all visitors, investors, fundraisers, and any other users of the Platform.

Pesewa Rising Ltd. operates this Platform as a crowdfunding intermediary and crowdfunding platform, registered under the laws of the Republic of Ghana ("we," "us," or "our").

To use the investment features of the Platform you must:

• Be at least 18 years of age
• Be a resident of, or a company registered in, the Republic of Ghana (or otherwise eligible under applicable law)
• Complete our Know Your Customer (KYC) identity verification process
• Not be barred from participating in investment activities under any applicable law or regulation

We reserve the right to refuse access to any person who does not meet these requirements.

You must create an account to access certain features of the Platform. You agree to provide accurate, complete, and up-to-date information during registration and to update your information as necessary. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at info@pesewarising.com if you suspect unauthorised access to your account.

Investors are required to complete identity verification before making any investment. This process ("KYC") involves submitting a valid government-issued identification document (Ghana Card or Passport). Our team will review your submission and notify you of approval typically within 24–48 business hours. We reserve the right to decline KYC approval without providing specific reasons, in accordance with applicable anti-money-laundering regulations.

Pesewa Rising facilitates investment in private businesses ("Campaigns") that have been reviewed and approved by our team. By investing in a Campaign you acknowledge:

• You have read and understood our Risk Disclosure in full
• You accept the risk of losing your entire invested amount
• Your investment is subject to the specific terms of the Campaign
• Pesewa Rising does not guarantee returns, dividends, or capital protection
• Investment decisions are yours alone and are not based on advice from Pesewa Rising

Campaigns listed on the Platform have passed our internal vetting process. However, vetting does not constitute an endorsement or guarantee of any Campaign. Information provided in Campaign listings is submitted by the fundraiser and, while reviewed by us, may not be independently verified in its entirety. You should conduct your own due diligence before investing.

Payments are processed securely via Paystack. By investing, you authorise the processing of your payment in the amount you specify. Transaction fees, if any, will be disclosed clearly before payment is confirmed. Pesewa Rising may charge a platform service fee on successful campaigns — this fee is disclosed in the relevant Campaign terms.

All amounts are in Ghana Cedis (GHS) unless otherwise stated.

Businesses submitting Campaigns ("Fundraisers") agree to provide accurate and complete information about their business, use of funds, and financial position. Fundraisers must hold all licences, permits, and registrations required to operate their business lawfully in Ghana. Pesewa Rising reserves the right to remove any Campaign at any time if we determine, in our sole discretion, that it violates these Terms or our standards of integrity.

You agree not to:

• Provide false or misleading information
• Use the Platform for money laundering, fraud, or any illegal purpose
• Attempt to access another user's account
• Interfere with the Platform's security or technical operations
• Scrape or copy Platform content for commercial purposes without our consent

Violation of this section may result in immediate account suspension and referral to law enforcement authorities.

All content on the Platform — including the Pesewa Rising brand, design, software, text, and graphics — is owned by or licenced to Pesewa Rising Ltd. You may not reproduce, distribute, or create derivative works without our express written permission.

To the maximum extent permitted by Ghanaian law, Pesewa Rising, its directors, employees, and agents shall not be liable for any indirect, incidental, special, or consequential loss arising from your use of the Platform or any investment made through it. Our total liability for any direct loss shall not exceed the platform fees paid by you in the twelve months preceding the claim.

Any dispute arising out of or in connection with these Terms shall first be addressed through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to mediation administered by the Ghana Arbitration Centre. These Terms are governed by the laws of the Republic of Ghana, and you consent to the exclusive jurisdiction of the courts of Ghana.

We may update these Terms from time to time. We will notify registered users of material changes by email or by a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after that period constitutes acceptance of the updated Terms.
